I have enclosed in this email the original drawing of the networking and transfer requirements for the fully implemented product.  (Yellow Page Licensee’s) technical staff can review the diagram to see how the transfer of information would occur between MegaLinker and (YP Licensee).  The drawing also outlines a relatively heavy reliance on security.

The answer reflects these points…

1.      The network is set up to protect the information given to MegaLinker. 

a.      The use of firewalls is generous (and we are implementing relatively
   sophisticated firewalls and security protection as outlined in the
   attached diagram).

b.      The data storage is redundant so the information itself cannot be
   compromised.

c.      In addition, a fully integrated Business Continuity and Service
   Assurance Plan cover the MegaLinker service in case of an 
   interruption in service.

2.      The information provided to MegaLinker by the (YP Licensee).

a.      Regardless of the position of the (YP Licensee), ownership of the
   original data remains with them.  Upon signing of a contract,
   MegaLinker gets limited rights to use their data.

b.      The databases are set up to track original ownership of data.  In
    addition, as businesses add themselves to the database directly
    (depending upon the client portal through which they enter), the new
    base information will track where the new business came from, for
    example: (SingTel, SBC, Hong Kong Telecom, Yell.com, Verizon, etc.)
    and attribute ownership to the new data.

c.      As businesses make changes to the original data sets (phone number,
   address, etc.), those changes will be automatically uploaded to the
   (YP  Licensee).

d.      As new businesses add themselves directly to the MegaLinker
   databases, the base information (as determined by their download to
   us) will automatically be uploaded to the (YP Licensee) in their format.
   
(This will be dual ownership:  (YP Licensee and MegaLinker.)

e.      Enhanced information (hours of business, credit cards accepted,
   product lines carried, etc.) will be uploaded as well to (YP Licensee)
   for their use but will remain the property of MegaLinker.

f.       If the client terminates with MegaLinker, they will get a copy of their
  database with the additions and corrections in it, but it will cover only
  the base information (unless they pay for the expanded information
  dataset).
